Service

Client may purchase and use one or more of the following three services provided by ActionRun:

Practice Activator: Under this service, ActionRun agrees to provide Client non-exclusive electronic access to ActionRun Software and Services via an Internet based system maintained by ActionRun, which provides customer communication and notification between Client and its customers. By leveraging Client’s business and/or customer management software the Practice Activator service sends appropriate messages to Client’s customers for renewal of service provided by Client to its customers. The base service includes customer analysis and sending up to 100 letters or emails to Client’s customers every month for the fees mentioned below. With Smart Site service, Client automatically gets at no additional fee the Practice Monitor base service. Practice Monitor service is described below.

Smart Site: Under this service, ActionRun agrees to provide the Client online presence using non-exclusive license of ActionRun’s online technology, website frameworks, and online content under an online Internet domain name for the client. With Smart Site service, Client can provide information about Client’s practice, staff, service details, case studies, pictorial proof, service quality information, customer testimonial information and any new customer promotions. Such information can be updated once every month. Any information provided by Client is subject to editorial approval of ActionRun and ActionRun’s decision is final. With Smart Site service, Client automatically gets at no additional fee the Practice Monitor base service. Practice Monitor service is described below.

Practice Monitor: Under this service, ActionRun agrees to provide Client non-exclusive electronic access to ActionRun Software and Services via an Internet based system maintained by ActionRun, which provides monitoring of communication and notification between Client and its customers. The service specifically includes monitoring of customer contacts which are calls and emails from customer to Client. The phone numbers (“Tracking numbers”) will be generated by ActionRun and will be provided to client during the term of this Agreement. The base service includes the software and one phone line with up to 200 minutes of monitoring by phone and unlimited email contacts made by customer with the Client.

Client has the option to buy one, two or all three of the above mentioned services.

Fees and Payment

Unless otherwise stated under a marketing promotion by ActionRun, each service has a term of one year and is priced as follows:

ActionRun Practice Activator: $297 one time set up fee and $297 month fee. The service includes smart analysis of all customers’ service history and information and sending of up to 100 Smart Letters per months for renewal of service by Client. If in any month client uses more than 100 letters, client will pay additional $2 for each additional Smart Letter. Client will provide a credit card for any incremental charge during the term of the service

Smart Site: $970 non-refundable set up fee and $297 month fee.

ActionRun Practice Monitor: $197 set up fee and $67 per month, billed monthly. The service includes monitoring of contacts from Client’s customers through one phone line for up to 200 minutes each month. Each additional line will cost $15 per line per month. Each line includes200 minutes of total monitoring. After the first 200 minutes, Client will pay $0.10 per minutes of monitoring. Client will provide a credit card for any incremental charge during the term of the service

Payment: Partial payment is not allowed unless agreed in writing by both Client and ActionRun. When recurring monthly billing is needed for any service, ActionRun will charge the Client at the beginning of each month for that month.

Agreement to Protect Private Health Information

If Client is a provider of medical, dental and other healthcare, then ActionRun will be allowed access to private health information through the Client’s practice or patient record management system for the purpose of installing ActionRun software to improve and provide customer service through ActionRun’s Services. ActionRun Practice Activator software identifies Client’s present and past patients overdue and need for health, dental and other medical care, and creates automated customized letters, emails and voice messages to contact them and invite them to make an appointment. ActionRun intends to protect this private health information as required by HIPAA privacy regulations. ActionRun’s entry into and compliance with this agreement is a necessary condition to the Client’s disclosure of information.

Indemnification of ActionRun:

Client agrees to indemnify ActionRun fully and completely for any and all adverse outcome of liability claimed by customer the customer communication and notification done with the help of ActionRun. Client agrees that ActionRun acts on behalf of the Client with the intention to retain Client’s customers including inactive and lost customers and renew service provided by Clients to its customers.

Dispute Resolution Limitation of Liability:

Any dispute between Client and ActionRun will be resolved amicably. If amicable resolution is not possible, Client agrees to resolve dispute through a competent court of Arbitration located in the County of Santa Clara. The decision reached by Arbitration will be final. Arbitration decision notwithstanding, Client agrees that the maximum liability of ActionRun is limited to the total payments made by Client to ActionRun for three months prior to the final date of dispute resolution.

License Term

The terms of the License will be valid immediately upon acceptance of this Agreement by the Client. However, for calculation and simplification purposes the License will remain valid for 12 months from the first day of next month (“beginning date”). For example, if Client accepts the terms of this Agreement on April 12, 2009, the terms of the Agreement and License will be valid effective April 12, 2009. However the beginning date will be May 1, 2009 and the Agreement and License terms will remain in effect until April 30, 2010, which is 12 months from the beginning date, This Agreement will renew for an additional 12 month period on unless canceled in writing a minimum of 30 days prior to the expiration of this agreement.

Evaluation

Client may opt-out of the 12 month agreement during the 60-day evaluation period. The evaluation period starts on the beginning date and ends sixty (60) days from the beginning date. To cancel, Client must send notice of cancellation in writing at least 15 days prior to the end of evaluation period.

Authorization

All agreements are transferable and fully enforceable in the event of a practice transfer (sale, acquisition, merger, etc). By clicking the “I Accept” button on this Agreement or at the registration and/pr purchase page of ActionRun website, where there is a link to this Agreement, you (Client) are indicating that you expressly accept the above mentioned terms and conditions in this legal Agreement.
